Please carefully read the following terms and conditions related to your participation in Sarah Breskman Cosme's and Suzanne Spooner's (“Cosme & Spooner”) Egypt Tour (the “Tour”) which is conducted by S&S Excellent Adventures, LLC (“SSEA”). By registering for the Tour and ticking the box on this page, you (the undersigned “Participant”) signify your acceptance of these terms and conditions (the “Agreement”).

Participant warrants and represents that Participant: (a) is over the age of eighteen (18); (b) shall be respectful and professional to SSEA, its affiliates, and other participants for the entirety of the Tour and that if SSEA determines, in SSEA's sole discretion, that Participant is being offensive or disruptive at the Tour, SSEA may remove Participant from the Tour and Participant will not receive a refund; (c) understands that all information (“Confidential Information”) presented at the Tour is copyrighted, proprietary, confidential, and/or otherwise owned or controlled by SSEA, that Participant will not seek to use or replicate any Confidential Information in any manner and will hold all Confidential Information strictly confidential in perpetuity, until such time SSEA directs otherwise in writing or makes such Confidential Information public; (d) understands that all information disseminated at the Tour, including, without limitation Confidential Information, cannot replace or substitute for the services of trained professionals in any field, including, without limitation, the mental, financial, medical, psychological, or legal fields, and that SSEA and SSEA's affiliates, including Cosme and Spooner, is not offering any professional, personal, medical, financial, or legal advice as part of a Tour and no information contained in the Tour should be construed as such advice; (e) understands that a breach of this Agreement by Participant may cause irreparable injury to SSEA or its affiliates, and that in the event of an actual or threatened breach, SSEA shall, in addition to all other available legal and equitable remedies, be entitled to injunctive relief restraining any conduct prohibited herein.

Participant irrevocably and forever releases, discharges, indemnifies, and holds SSEA, Cosme and Spooner, and SSEA's affiliates harmless from any damage, loss, liability, or claim, whether such liability is by way of direct, indirect, consequential, special, exemplary or other damages, which arises in connection with the Tour or the breach of this Agreement. This includes any claim of defamation, invasion of privacy, or from any personal injury (including death) or financial loss incurred in connection with the Tour. Participant is alone responsible and accountable for Participant’s decisions, actions, and results in life, and by the participation in the Tour, Participant does not hold SSEA, Cosme and Spooner, or SSEA's affiliates liable for any decision, action, or result that Participant makes due to Participant’s participation in the Tour.

Participant is aware of the risks associated with SARS-CoV-2 (also known as Covid-19 or Coronavirus) and forever releases, discharges, indemnifies and holds SSEA, Cosme and Spooner, and SSEA's affiliates harmless from any illness, including SARS-CoV-2, acquired while attending the Tour, in connection with the Tour or while traveling to or from the Tour. Participant agrees to indemnify and hold harmless SSEA, Cosme and Spooner, and SSEA's affiliates from any and all claims, suits or actions of any kind whatsoever for liability, damages, compensation or otherwise brought by Participant or anyone on Participant’s behalf, including attorney’s fees and any related costs if litigation arises pursuant to any claims made by Participant or anyone on Participant’s behalf. This includes, but is not limited to, anything arising from personal injury, psychological injury, emotional distress, sickness, medical condition, ailment, falls, broken bones, accidents while in transport, reactions to the food being served, dehydration, dizziness, fainting, insect bites, animal bites or death that takes place at the Tour, in connection with the Tour or traveling to or from the Tour. In the event that Participant should require medical care or treatment, Participant agrees to be financially responsible for any and all costs incurred as a result of such medical care or treatment through their own health insurance or otherwise.

Participant agrees to the following refund policy: A) If Participant needs to cancel their registration before October 1, 2025, SSEA will offer a full refund, less a $2,000 deposit. B) After October 1, 2025, SSEA will not refund any amount to Participant, under any circumstances. C) SSEA reserves the right to cancel or reschedule any Tour at any time for any reason. In the unlikely event that SSEA does so, Participant will receive a full refund or the opportunity to transfer their registration to a different Tour on another date. SSEA, Cosme and Spooner, and SSEA's affiliates are not responsible for any consequential loss or expenses, including, without limitation, travel and accommodation expenses, incurred by Participant as a result of cancellation.

Participant understands that the Tour may be recorded and the audio and video recording (the “Footage”) can be used or shared at the discretion of SSEA. While the main intent is to capture Cosme and Spooner in the Footage, it is possible that attendees may be captured as well. In the event that a Participant is captured in the Footage, Participant irrevocably grants and assigns to SSEA and its affiliates the exclusive and perpetual right, throughout the universe, to display, exploit, modify, and/or create derivative works of the Footage. All right, title, and interest in and to the Footage is a work made for hire made for the benefit of SSEA, and/or shall be deemed assigned by Participant to SSEA, throughout the universe in perpetuity. Participant waives any moral rights Participant has in the Footage.

This Agreement represents the entire understanding between the parties and supersedes any prior agreement with respect to the subject matter. SSEA may assign this agreement to any third party. The laws of Iowa shall govern this Agreement and any dispute related hereto shall be resolved in the courts located in Polk County, Iowa. Participant acknowledges and agrees that Participant shall have no right to and hereby waives any right to obtain equitable or injunctive relief in regards to the Footage. Participant understands that Participant will not be covered by any SSEA insurance policy. All notices to SSEA hereunder shall be sent to [email protected]. By ticking the box on this page, Participant acknowledges that they have read this agreement in full and consent to all terms and conditions herein.
